By accessing or using RefactorBiz's enterprise AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and RefactorBiz, Inc. ("we," "us," or "our"). Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

RefactorBiz is an enterprise AI platform that provides role-specific business intelligence tools and strategic analysis capabilities for C-suite executives and business leaders.

Core Service Features

Service Tiers

• Core Tier: 25 generations/month with access to basic features
• Pro Tier: 50 generations/month with Pro-tier features and conversation history
• Enterprise Tier: 150 generations/month with all features, Factory Tools, and PDF exports

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users.

Account Creation

To access certain features of the Service, you must create an account. You may register using:

• Email and password authentication through Firebase
• OAuth providers (Google, Microsoft, etc.)
• Enterprise single sign-on (SSO) where available

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains current and accurate

Account Restrictions

You may not:

• Create multiple accounts to circumvent usage limits
• Share account credentials with other individuals
• Use automated systems to create accounts
• Impersonate another person or entity

Permitted Use

You may use RefactorBiz for legitimate business purposes including:

Prohibited Activities

You may not use our Service to:

• Generate content for illegal activities or purposes
• Create misleading, fraudulent, or deceptive business plans
• Attempt to reverse engineer or extract our AI models
• Use the Service to compete directly with RefactorBiz
• Generate excessive requests to overwhelm our systems
• Share sensitive information that violates third-party confidentiality
• Use the Service for automated trading or financial decisions without human oversight

Business Context Guidelines

When providing business context:

• Do not include personally identifiable information of customers or employees
• Avoid sharing confidential information that could harm your competitive position
• Use hypothetical scenarios for highly sensitive strategic decisions
• Remember that AI recommendations require human validation and expertise

Subscription Tiers

RefactorBiz offers multiple subscription tiers with different feature access and generation limits. Current pricing and features are available on our website.

Billing and Payment

• Payment Processing: All payments are processed through Stripe, a PCI-compliant payment processor
• No Stored Payment Data: We do not store credit card information on our servers
• Billing Cycle: Subscriptions are billed monthly or annually in advance
• Auto-Renewal: Subscriptions automatically renew unless cancelled
• Pro-rated Charges: Upgrades are pro-rated; downgrades take effect at the next billing cycle

Generation Limits and Usage

• Generation limits reset monthly on your billing date
• Unused generations do not roll over to the next billing period
• Overage charges may apply for Enterprise customers with custom plans
• Conversation history and follow-up questions do not count as new generations

Refunds and Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial billing periods
• Account access continues until the end of the paid period
• Conversation history is preserved for 30 days after cancellation

Our Intellectual Property

RefactorBiz retains all rights, title, and interest in:

• The RefactorBiz platform, software, and technology
• AI models, algorithms, and methodologies
• Business frameworks and analytical tools
• Trademarks, logos, and brand elements
• Documentation and educational content

Your Content and Data

You retain ownership of all business information, context, and data you provide to RefactorBiz. However, you grant us a limited license to:

• Process your inputs to generate AI responses
• Store conversation history according to your tier level
• Use aggregated, anonymized data to improve our services
• Provide technical support and troubleshooting

AI-Generated Content

Regarding content generated by our AI:

• You may use AI-generated insights for your business purposes
• Generated content is provided for informational purposes only
• You are responsible for validating and implementing recommendations
• We do not claim ownership of strategic decisions based on our analysis

Restrictions on Use

You may not:

• Resell or redistribute AI-generated content as a standalone product
• Use our intellectual property to create competing services
• Reverse engineer our AI models or algorithms
• Remove or obscure any proprietary notices or attributions

Data Collection and Use

We collect and process data as described in our Privacy Policy, including:

• Account information (name, email, profile data)
• Business context you provide for analysis
• Conversation history (based on your subscription tier)
• Usage analytics and performance metrics
• Payment information (processed by Stripe, not stored by us)

Data Security

• Encryption: All data is encrypted in transit (TLS 1.3) and at rest (AES-256)
• Access Controls: Strict authentication and authorization protocols
• Data Isolation: Your data is completely isolated from other users
• No AI Training: Your business data is never used to train our AI models

Data Retention

• Core Tier: No conversation history stored
• Pro Tier: Up to 20 conversations stored
• Enterprise Tier: Up to 150 conversations stored
• Account Deletion: All personal data deleted within 30 days of request

Business Confidentiality

We understand the sensitivity of business information and commit to:

• Treating all business context as confidential information
• Never sharing your data with competitors or third parties
• Using data only for providing services to you
• Maintaining strict employee access controls and confidentiality agreements

Nature of AI Recommendations

RefactorBiz provides AI-generated business insights and recommendations that are:

• Based on proven business frameworks and methodologies
• Customized to your provided context and parameters
• Intended for informational and analytical purposes only
• Subject to limitations of current AI technology

Professional Judgment Required

AI recommendations should always be:

• Validated by qualified business professionals
• Reviewed in context of current market conditions
• Adapted to your specific business circumstances
• Tested through pilot programs before full implementation

Limitations and Risks

Users acknowledge that AI analysis:

• Cannot predict all market dynamics or external factors
• May not capture unique aspects of your business or industry
• Depends on the accuracy and completeness of context provided
• Should not replace expert consultation for critical decisions
• May contain assumptions that require validation

No Financial or Legal Advice

Our Service does not provide:

• Professional financial, investment, or legal advice
• Recommendations for specific investments or trades
• Legal compliance guidance for specific jurisdictions
• Tax or accounting advice

Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REFACTORBIZ SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• BUSINESS INTERRUPTION OR LOST OPPORTUNITIES
• DAMAGES RESULTING FROM BUSINESS DECISIONS BASED ON AI RECOMMENDATIONS

Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold RefactorBiz harmless from any claims, damages, or expenses arising from:

• Your use of the Service in violation of these Terms
• Your breach of any representation or warranty
• Business decisions made based on AI-generated recommendations
• Infringement of third-party rights through your use of the Service

Termination by You

You may terminate your account at any time by:

• Cancelling your subscription through account settings
• Contacting our support team
• Requesting account deletion

Termination by RefactorBiz

We may terminate or suspend your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Abuse or misuse the Service
• Threaten the security or integrity of our systems

Effects of Termination

Upon termination of your account:

• Your access to the Service will be immediately suspended
• Active subscriptions will be cancelled
• Account data will be preserved for 30 days for potential recovery
• After 30 days, all personal data will be permanently deleted
• You remain liable for all charges incurred before termination

Data Export

Before termination, you may:

• Export conversation history (if available in your tier)
• Download any generated reports or analysis
• Request data export assistance from our support team

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.

Dispute Resolution

Before filing any legal action, parties agree to attempt resolution through:

• Direct Communication: Contact our support team to discuss the issue
• Mediation: Good faith mediation with a mutually agreed mediator
• Arbitration: Binding arbitration under American Arbitration Association rules

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of any class, consolidated, or representative action.

Severability
